# Dative, Inc. Service Level Agreement

*Effective Jan 1, 2014*

This Service Level Agreement ("**SLA**") applies to Dative, Inc. (“**Dative**”) and customers who engage Dative for website hosting, support, or maintenance services (each a "**Client**").

**1. Authorization**

Client is hiring Dative to provide support, maintenance, updates, and security for its website or application and is authorizing Dative to access the website or application to provide this support. If Dative is not hosting the website or application, Client will set up a separate contract with a hosting company and authorize Dative to access this account.

**2. What’s Included**

2.1 Graphical Updates. Adding, editing, and sizing pictures, videos, graphics, or images to the existing website that do not fall under the scope of the layout or actual design of the existing website.

2.2 Text Updates. Adding, editing, and/or removing any text or copy on the existing site, including but not limited to articles, reports, contact information, and product or service descriptions.

2.3 Weekly Backups. Maintain a full backup of the website or application through the duration of this contract.

2.4 Functionality. Ensure all links/images are working correctly and monitor the website's overall health and proper functionality.

2.5 Website Uptime Monitoring. Monitor the website for uptime and address any downtime issues within 24 hours.

2.6 General Maintenance and Support. General maintenance and updates as requested by Client via Support Ticket system.

2.7 Software Updates. For websites built on Craft CMS, Dative will keep CMS and plugin software updated to the latest minor versions and/or patch releases under the major version at the time of launch. For example, updating from 4.13.9 to 4.14.0. This does not include updating major versions, for example, 4.14.0 to 5.1.0.

**3. What’s Not Included**

3.1 Website redesign. The scope of this contract is limited to maintenance and does not allow for a complete or partial redesign of the existing website. Dative will advise the Client of any requested work that falls within these bounds and may require a different contract. Dative reserves the right to distinguish between "updates" and "new designs."

3.2 Error and Omissions. Dative is not responsible for errors or omissions in the content provided by Client.

**4. Support Requests**

To request website updates or other maintenance, the Client will create a Support Ticket by emailing their request to support@hellodative.com.

Dative will respond to all Support Tickets within one (1) business day of Support Ticket creation.

Support Tickets made after 3:00pm EST may not be received until the next business day.

Dative will adhere to all quoted deadlines for the deliverables in the maintenance requests at all possible costs. In the event that Dative cannot deliver on a quoted deadline, Client will be notified via email or telephone.

Support requests made through other methods, including not limited to phone call, SMS, or email sent to an address other than support@hellodative.com may not fall under these

**4. Cancellation**

Clients can cancel their support plan at any time by email or phone. Client is not eligible for a refund of any currently paid or prepaid fees.

Dative reserves the right to cancel the Client support plan at any time. If Dative cancels the Client's plan, Dative will return unused support fees within 30 days of the cancellation.

If the Client chooses to cancel the plan, the Client will be responsible for securing new website hosting and any costs associated with migrating the website. Any work performed by Dative in offboarding the client from the hosting or support plan will be billed at the current hourly rate and is not included in the support plan.

**5. Maintenance Terms**

If the Client or any third party person attempts to access or accesses the server or website and makes changes to the website, database, server, or software that need to be remedied, any time to repair and/or restore the website, databases or any other script on the Client website will be billed at the current hourly rate and is not included in the support plan.

**6. Additional Warranties**

In addition to any Warranties and Representations set forth in the Dative, Inc. Master Services Agreement, Dative does not warrant the functions of the site will meet Client’s expectations of site traffic or resulting business or that the operation of the web pages will be uninterrupted and/or error-free. Dative is not to be held responsible for occasional downtime of email or website due to line interruptions and/or other instances beyond Dative's control, including but not limited to service outages from third-party vendors or software.

**7. Laws Affecting Electronic Commerce**

From time to time, governments enact laws and levy taxes and tariffs that affect Internet electronic commerce. The Client agrees that the Client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend Dative and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the Client's exercise of Internet electronic commerce.

**8. Supplemental Agreement**

The client agrees and understands that they are accepting the terms of this SLA, have read the terms, and fully understand the terms of the package accepted herein.

Client also agrees and understands that the agreement contained in this SLA constitutes part of the agreement between Dative and the Client regarding this website, and that this Supplement is governed by the terms of the Dative, Inc. Master Services Agreement.

**9. Website Policies**

Dative is not a law firm, and this is not legal advice. This section provides information regarding certain requirements for website policies.

**9.1 Privacy Policy**

A Privacy Policy helps website owners comply with privacy laws by providing specific disclosure requirements such as how their website collects, uses, and discloses personally identifiable information as well as all the disclosures required by the privacy laws that apply to you.

Today’s modern websites are built to provide a great user experience and motivate prospective customers to reach out and inquire about what you have to offer. This is done through the use of tools such as contact forms, website analytics, and more.  

Contact forms ask users to submit their ‘name’ and ‘email’, which are examples of personally identifiable information. When a website uses analytics, it collects each visitor’s IP address and shares that personally identifiable information with third-party data analytics providers. These are just a few examples of the many ways websites collect and share personally identifiable information.

**9.2 Penalties for Non-Compliance**

The collection of personally identifiable information is regulated under multiple privacy laws. For example, in the US, there are numerous state privacy laws that can apply to businesses, regardless of their location, and fines for non-compliance start at $2,500 per “infringement” (per website visitor). Each of these privacy laws has specific disclosure requirements that have to be added to your Privacy Policy to be compliant.  

It’s also important to note that privacy laws in other countries could apply to you if you collect the personal information of, do business with, or provide services to residents of those countries.  

In addition, over two dozen privacy bills have been proposed on a state level, each with its own unique disclosure requirements and penalties for not complying.

If passed, some of these bills would enable citizens to sue businesses (of any size or location) for collecting their personally identifiable information without an up to date and compliant Privacy Policy. Due to the ever-changing nature of privacy laws, we recommend that you not only have a comprehensive Privacy Policy in place but that you also develop a strategy to keep your policies up to date when these laws are amended or when new laws are implemented.

Outside of the legal requirements, Privacy Policies are required to use popular third-party tools. For example, Google requires a privacy policy for a website utilizing Google Analytics. You can find this requirement within section 7 of [Google’s Terms of Service](https://marketingplatform.google.com/about/analytics/terms/us/).  

Google also recently announced that it is requiring all websites using AdSense to have a cookie consent banner. Since AdSense uses cookies and collects personally identifiable information, which is regulated under multiple privacy laws, Google is now required to ensure that websites using AdSense comply with those laws.  

**9.3 Cookie Policy and Cookie Consent**

Cookies are little snippets of code that get inserted into the user’s browser and device when visiting a website. They can help ensure a website properly functions (aka essential and functional cookies). They can also track website visitors for analytics and advertising purposes (aka marketing cookies). Several privacy laws require users to provide consent prior to implementing non-essential cookies on their browsers. This is commonly done through a cookie consent banner, which will ask your website visitors to choose their consent settings. It is important to identify what privacy laws apply to you, and determine if you are required to provide a cookie consent solution on your website along with a Cookie Policy further describing the purpose of each cookie.  

Failure to capture consent for non-essential cookies or third-party tracking technologies can result in significant fines or even lawsuits. Starting in 2024, for example, there has been a significant increase in lawsuits against US-based website owners (both small and large businesses and nonprofits) for non-compliance with CIPA (a law requiring consent from California visitors prior to tracking them with third-party technologies which are embedded into a website). A comprehensive cookie consent solution helps website owners comply with these laws, helping them respect the rights of their website visitors, while also reducing the chances of lawsuits and non-compliance penalties.

**9.4 Terms of Service**

A Terms of Service Agreement limits the liability of businesses (aka helps reduce the risk of website-related lawsuits) by stating the rules for using the website.

Example disclosures

Third-party links: When a website offers links to third-party websites, a Terms of Service can help explain to users that the business is not responsible if a user clicks those links. So, if a third-party link brings a user to a hacked website, the Terms of Service disclosure can help prevent you from being sued.

DMCA Notice: A Terms of Service agreement can also provide a DMCA notice, which helps prevent a business from being sued by providing contact information in case the website accidentally uses copyrighted material (like images or content).  

A Terms of Service can make many additional disclosures, but these two are the most popular and are easy ways to protect your website and your business.  

**9.5 Website Disclaimers**

A Disclaimer is a document that helps limit your responsibilities and liabilities for your website in certain circumstances.

Does your website:

- Advertise third-party products or services? A Disclaimer will help you protect yourself if a user clicks on the third-party advertisement and gets a virus, is somehow injured by the product or service, or is not happy with the third-party product or service
- Sell or display health products? A Disclaimer will help you protect yourself in this case if the health products do not work as they should, do not deliver the results that were expected or if the user gets injured by the health products.
- Participate in an affiliate program? An affiliate program is a program whereby you list a particular link on your website and, if the user clicks on that link or purchases the products that the link displays, you receive money from the manufacturer of that product. A Disclaimer will help you comply with the affiliate program’s Terms of Service as most affiliate programs require you to provide a Disclaimer and will help you keep your user’s trust.
- Provide health and fitness advice. A Disclaimer will protect you in case the user gets injured after following your health and fitness advice, much like the beginning of those exercise videos that you will watch in January of next year.
- Provide information that could be seen by others as legal advice? A Disclaimer will protect you by stating that there is no attorney client relationship and that this advice is not legal advice, thus protecting you in case something goes wrong.

**9.6 How to Obtain Website Policies**

Dative recommends hiring a lawyer who focuses on privacy law to write website policies, monitor privacy laws, and update them when they change or new laws go into effect. If this is not feasible for Client, Dative recommends using [**Termageddon**](https://app.termageddon.com/?fp_ref=dative).

Termageddon is a comprehensive website policies generator platform that updates your policies when privacy laws change, or new privacy laws go into effect, helping you stay compliant and avoid privacy-related fines and lawsuits.

Dative has a relationship with Termageddon and can assist Clients with with linking those policies to the website. Client is under no obligation to utilize Termageddon. If you choose to use Termageddon’s services, your relationship will be directly with them and governed solely by their Privacy Policy and Terms of Service.  

**9.7 Website Policies Waiver Acceptance**  

By entering into this SLA with Dative, the Client acknowledges that Dative has informed the Client that applicable (state, national, or international) law may require their website to have a Privacy Policy or other legal policies in place. Dative does not provide legal advice or policies as a service and is not responsible for the Client's business complying with any applicable laws.  

The client acknowledges and understands that not having policies, terms, or other legal documents on their website may make them non-compliant with multiple laws. The Client further agrees to hold Dative harmless for any violations of law or acts regarding privacy, consent, data storage, or other legal requirements.

# Dative, Inc. Master Service Agreement

Effective January 1, 2014

This Master Services Agreement ("**MSA**") applies to Dative, Inc. (“**Dative**”) and customers who engage Dative for website design, development, or consulting services (each a "**Client**").

**1. DEFINITIONS**

As used herein and throughout this Agreement:

1.1 “Agreement” means the entire content of this Services Agreement, the Statement of Work documents, together with any other Supplemental documents, and/or any exhibits, schedules, or attachments.

1.2. “Statements of Work \[SOW\]” means the services and Deliverables described in any document that references this agreement, details the fees for such work, and is signed by the parties (each an “SOW”). Upon signing, each SOW becomes part of this agreement. If an SOW conflicts with this agreement, the terms of the SOW control as to the work described in the SOW.

1.3 “Client Content” means all materials, information, photography, writings, and other creative content provided by the Client for use in preparing and/or incorporating the Deliverables.

1.4 “Copyrights” means the property rights in original works of authorship, expressed in a tangible medium, as defined and enforceable under U.S. Copyright Law.

1.5 “Deliverables” means the services and work product specified in the Statement of Work to be delivered by Dative to Client in the form and media specified in the Statement of Work.

1.6 “Design Tools” means all design tools developed and/or utilized by Dative in performing the Services, including without limitation pre-existing and newly developed software, including source code, Web authoring tools, type fonts, and application tools, together with any other software, or other inventions whether or not patentable, and general non-copyrightable concepts such as website design, architecture, layout, navigational and functional elements.

1.7 “Final Deliverables” means the final versions of Deliverables provided by Dative and accepted by the Client.

1.8 “Preliminary Works” means all work including, but not limited to, concepts, sketches, visual presentations, or other alternate or preliminary designs and documents developed by Dative and which may or may not be shown and or delivered to Client for consideration but do not form part of the Final Deliverables.

1.9 “Project” means the scope and purpose of the Client’s identified usage of the work product as described in the Statement of Work.

1.10 “Services” means all services and the work product to be provided to Client by Dative as described and otherwise further defined in the Statement of Work.

1.11 “Third Party Materials” means proprietary third-party materials which are incorporated into the Final Deliverables, including, without limitation, stock photography or illustration.

1.12 “Trademarks” means trade names, words, symbols, designs, logos, or other devices or designs used in the Final Deliverables to designate the origin or source of the Client's goods or services.

**2. STATEMENT OF WORK**

The terms of the Statement of Work shall be effective for 15 days after presentation to the Client. If the Client does not execute this Agreement within the identified time, the Statement of Work may be cancelled or subject to amendment, change, or substitution.

**3. FEES AND CHARGES**

3.1 Fees. In consideration of the Services to be performed by Dative, Client shall pay to Dative fees in the amounts and according to the payment schedule set forth in the Statement of Work, and all applicable sales, use, or value-added taxes, even if calculated or assessed subsequent to the payment schedule.

3.2 Additional Costs and Expenses. The Project pricing includes Dative’s fee only. Any and all outside costs including, but not limited to, equipment rental, photographer’s costs, and fees, photography and/or artwork licenses, fonts, talent fees, music licenses, and online access or hosting fees, as well as Dative’s incidental and out-of-pocket expenses including postage, shipping, presentation materials, photocopies will be billed to Client unless specifically otherwise provided for in the Statement of Work. Client shall also pay for travel expenses, including transportation, meals, and lodging, incurred by Dative with Client’s prior approval.

3.3 Invoices. All invoices are payable upon receipt. A monthly service charge of 1.5 percent (or the greatest amount allowed by state law) is payable on all overdue balances. Client shall be responsible for all collection or legal fees necessitated by lateness or default in payment.

3.4 Failure to Pay. Dative reserves the right to withhold delivery and any transfer of ownership of any current work if accounts are not current or overdue invoices are not paid in full. All grants of any license to use or transfer of ownership of any intellectual property rights under this Agreement are conditioned upon receipt of payment in full, which shall be inclusive of any and all outstanding Additional Costs, Taxes, Expenses, Fees, Charges, or the costs of Changes.

**4. CHANGES**

4.1 General Changes. Unless otherwise provided in the Agreement, Client shall pay additional charges for changes requested by Client that are outside the scope of the Services on a time and materials basis at Dative’s project hourly rate of $175 per hour. Such charges shall be in addition to all other amounts payable under the Statement of Work, despite any maximum budget, contract price, or final price identified therein. Dative may extend or modify any delivery schedule or deadlines in the Statement of Work and Deliverables as may be required by such Changes.

4.2 Substantive Changes. If the Client requests Changes that amount to a revision in or near excess of 15 percent (15%) of the time required to produce the Deliverables and/or the value or scope of the Services, Dative shall be entitled to submit a new and separate Statement of Work to the Client for written approval. Work shall not begin on the revised services until a fully signed revised Statement of Work and, if required, any additional retainer fees are received by Dative.

**5. DELIVERY**

5.1 Timing. Dative will undertake commercially reasonable efforts to perform the Services within the time(s) identified in the Statement of Work. Client agrees to review Deliverables within the time identified for such reviews and to promptly either, (i) approve the Deliverables in writing or (ii) provide written comments and/or corrections sufficient to identify the Client’s concerns, objections or corrections to Dative. No response from the client regarding deliverables for three consecutive business days is deemed acceptance by the Client. Dative shall be entitled to request written clarification of any concern, objection, or correction. Client acknowledges and agrees that Dative’s ability to meet any and all schedules is entirely dependent upon Client’s prompt performance of its obligations to provide materials and written approvals and/or instructions pursuant to the Statement of Work and that any delays in Client’s performance or Changes in the Services or Deliverables requested by Client may delay delivery of the Deliverables. Any such delay caused by Client shall not constitute a breach of any term, condition, or Dative’s obligations under this Agreement.

5.2 Testing and Acceptance. Dative will exercise commercially reasonable efforts to test Deliverables requiring testing and to make all necessary corrections prior to providing Deliverables to the Client. Client, within five (5) business days of receipt of each Deliverable, shall notify Dative, in writing, of any failure of such Deliverable to comply with the specifications set forth in the Statement of Work or of any other objections, corrections, changes or amendments Client wishes made to such Deliverable. Any such written notice shall be sufficient to identify with clarity any objection, correction, change, or amendment, and Dative will undertake to make the same in a commercially timely manner. Any and all objections, corrections, changes, or amendments shall be subject to the terms and conditions of this Agreement. In the absence of such notice from Client, the Deliverable shall be deemed accepted.

**6. CLIENT RESPONSIBILITIES**

6.1 Client Obligations. In addition to any assumptions or obligations in the SOW, Client acknowledges that they shall be responsible for performing the following in a reasonable and timely manner:

(a) provide Client Content necessary for Dative’s performance of its services in a form suitable for reproduction or incorporation into the Deliverables without further preparation, unless otherwise expressly provided in the Statement of Work;

(b) ensure that Client stakeholders are available and responsive over the course of the project;

(c) ensure that all Client feedback and approvals are provided through a single point of contact;

(d) Provide any necessary access and coordinate any decision-making with parties other than Dative so that Dative can perform its services.

(e) final proofreading.

If the Client fails to perform the Client Obligations, Dative may provide written notice specifying the failure and requesting that the Client correct the failure. If the Client does not correct the failure within ten \[10\] days of its receipt of the notice, Dative may, by written notice to the Client, stop work under the SOW and invoice for services provided through the date of work stoppage. To resume services, Dative may require an amendment to the SOW, including but not limited to project fees and schedule.

In the event that Client has approved Deliverables but errors, such as but not limited to typographic errors or misspellings, remain in the finished product, Client shall incur the cost of correcting such errors.

**7. INTELLECTUAL PROPERTY**

7.1 Copyright Assignment. Provided Client has complied with the terms of this agreement, and upon final payment to Dative for services, Dative shall automatically thereby grant, transfer, assign, and convey to Client all rights, title, interest, ownership, and all subsidiary rights for the Final Deliverables.

Notwithstanding the foregoing, Dative retains ownership in and to all engineering, including code and database frameworks and/or any and all process files, notes, documents, or other materials created by Dative in connection with the services performed under this contract, and Dative grants Client a worldwide, nonexclusive, irrevocable license for the use of such engineering, code, and database frameworks and/or any and all process files, notes, documents, or other materials. Client further grants Dative a worldwide, nonexclusive, irrevocable license to display the written or visual content developed by Dative for Client in Dative’s portfolio and for other business and marketing purposes.

7.2 Accreditation/Promotions. Dative expressly retains the right to reproduce, publish, and display the Deliverables in Dative’s portfolios, website, or marketing materials for the purposes of recognition and promotion. To such end, Dative may describe its role in the Project and the Services provided on its website and in other promotional materials.

**8. CONFIDENTIAL INFORMATION**

8.1 Non-disclosure. Each party acknowledges that in connection with this Agreement, it may receive certain confidential or proprietary technical and business information and materials of the other party, including, without limitation, Preliminary Works (“Confidential Information”). Each party, its agents and employees shall hold and maintain in strict confidence all Confidential Information, shall not disclose Confidential Information to any third party, and shall not use any Confidential Information except as may be necessary to perform its obligations under the Statement of Work except as may be required by a court or governmental authority. Notwithstanding the foregoing, Confidential Information shall not include any information that is in the public domain or becomes publicly known through no fault of the receiving party or is otherwise properly received from a third party without an obligation of confidentiality.

8.2 Non-Disparagement: Client shall, during and after participation in and use of Dative’s services, refrain from making any statements or comments of a defamatory or disparaging nature to any third party regarding Dative or any of Dative’s officers, directors, employees, personnel, agents, policies, services or products other than to comply with the law.

**9. RELATIONSHIP OF THE PARTIES**

9.1 Independent Contractor. Dative is an independent contractor, not an employee of Client or any Dative affiliated with Client. Dative shall provide the Services under the general direction of Client, but Dative shall determine, in Dative’s sole discretion, the manner and means by which the Services are accomplished. This Agreement does not create a partnership or joint venture, and neither party is authorized to act as agent or bind the other party except as expressly stated in this Agreement. Dative and the work product or Deliverables prepared by Dative shall not be deemed a work for hire as that term is defined under Copyright Law. All rights, if any, granted to Client are contractual in nature and are wholly defined by the express written agreement of the parties and the various terms and conditions of this Agreement.

9.2 Dative Agents. Dative shall be permitted to engage and/or use third-party service providers as independent contractors in connection with the Services (“Design Agents”). Notwithstanding, Dative shall remain fully responsible for such Design Agents’ compliance with the various terms and conditions of this Agreement.

9.3 Design Tools. Any and all Design Tools developed during the performance of this Agreement are the sole property of Dative. Such Design Tools may constitute Dative’s Intellectual Property, and Client has the right to use such only in accordance with the terms and conditions set forth herein.

9.4 No Exclusivity. The parties expressly acknowledge that this Agreement does not create an exclusive relationship between the parties. Client is free to engage others to perform services of the same or similar nature to those provided by Dative, and Dative shall be entitled to offer and provide design services to others, solicit other clients, and otherwise advertise the services offered by Dative.

**10. WARRANTIES AND REPRESENTATIONS**

10.1 By Client. Client represents, warrants, and covenants to Dative that (a) Client owns all right, title, and interest in, or otherwise has full right and authority to permit the use of the Client Content, (b) to the best of Client’s knowledge, the Client Content does not infringe the rights of any third party, and use of the Client Content as well as any Trademarks in connection with the Project does not and will not violate the rights of any third parties, (c) Client shall comply with the terms and conditions of any licensing agreements which govern the use of Third Party Materials, and (d) Client shall comply with all laws and regulations as they relate to the Services and Deliverables.

10.2 By Dative. (a) Dative represents, warrants and covenants to Client that Dative will provide the Services identified in the Agreement in a professional and workmanlike manner and in accordance with all reasonable professional standards for such services.

(b) Dative further represents, warrants and covenants to Client that (i) except for Third Party Materials and Client Content, the Final Deliverables shall be the original work of Dative and/or its independent contractors, (ii) in the event that the Final Deliverables include the work of independent contractors commissioned for the Project by Dative, Dative shall have secure agreements from such contractors granting all necessary rights, title, and interest in and to the Final Deliverables sufficient for Dative to grant the intellectual property rights provided in this Agreement, and (iii) to the best of Dative’s knowledge, no part of the Final Deliverable infringes the rights of any party, and use of same in connection with the Project will not violate the rights of any third parties. In the event Client or third parties modify or otherwise use the Deliverables outside of the scope or for any purpose not identified in the Statement of Work or this Agreement or contrary to the terms and conditions noted herein, all representations and warranties of Dative shall be void.

(c) EXCEPT FOR THE EXPRESS REPRESENTATIONS AND WARRANTIES STATED IN THIS AGREEMENT, DATIVE MAKES NO WARRANTIES WHATSOEVER. DATIVE EXPLICITLY DISCLAIMS ANY OTHER WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR COMPLIANCE WITH LAWS OR GOVERNMENT RULES OR REGULATIONS APPLICABLE TO THE PROJECT.

**11. INDEMNIFICATION/LIABILITY**

11.1 By Client. Client agrees to indemnify, save, and hold harmless Dative from any and all damages, liabilities, costs, losses, or expenses arising out of any claim, demand, or action by a third party arising out of any breach of Client’s responsibilities or obligations, representations or warranties under this Agreement. Under such circumstances, Dative shall promptly notify Client in writing of any claim or suit; (a) Client has sole control of the defense and all related settlement negotiations; and (b) Dative provides Client with commercially reasonable assistance, information, and authority necessary to perform Client’s obligations under this section. Client will reimburse the reasonable out-of-pocket expenses incurred by Dative in providing such assistance.

11.2 By Dative. Subject to the terms, conditions, express representations, and warranties provided in this Agreement, Dative agrees to indemnify, save and hold harmless Client from any and all damages, liabilities, costs, losses or expenses arising out of any finding of fact which is inconsistent with Dative’s representations and warranties made herein, except in the event any such claims, damages, liabilities, costs, losses or expenses arising directly as a result of gross negligence or misconduct of Client provided that (a) Client promptly notifies Dative in writing of the claim; (b) Dative shall have sole control of the defense and all related settlement negotiations; and (c) Client shall provide Dative with the assistance, information and authority necessary to perform Dative’s obligations under this section. Notwithstanding the foregoing, Dative shall have no obligation to defend or otherwise indemnify Client for any claim or adverse finding of fact arising out of or due to Client Content, any unauthorized content, improper or illegal use, or the failure to update or maintain any Deliverables provided by Dative.

11.3 Limitation of Liability. THE SERVICES AND THE WORK PRODUCT OF DATIVE ARE SOLD “AS IS.” IN ALL CIRCUMSTANCES, THE MAXIMUM LIABILITY OF DATIVE, ITS DIRECTORS, OFFICERS, EMPLOYEES, DESIGN AGENTS, AND AFFILIATES (“DATIVE PARTIES”), TO CLIENT FOR DAMAGES FOR ANY AND ALL CAUSES WHATSOEVER, AND CLIENT’S MAXIMUM REMEDY, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL BE LIMITED TO THE NET PROFIT OF DATIVE. IN NO EVENT SHALL DATIVE BE LIABLE FOR ANY LOST DATA OR CONTENT, LOST PROFITS, BUSINESS INTERRUPTION OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE MATERIALS OR THE SERVICES PROVIDED BY DATIVE, EVEN IF DATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

**12. TERM AND TERMINATION**

12.1 This Agreement shall commence upon the Effective Date and shall remain effective until the Services are completed and delivered.

12.2 This Agreement may be terminated at any time by either party effective immediately upon written notice, or if any party:

(a) becomes insolvent, files a petition in bankruptcy, makes an assignment for the benefit of its creditors; or

(b) breaches any of its material responsibilities or obligations under this Agreement, which breach is not remedied within ten (10) days from receipt of written notice of such breach.

12.3 In the event of termination, Dative shall be compensated for the Services performed through the date of termination in the amount of (a) any advance payment, (b) a prorated portion of the fees due, or (c) hourly fees for work performed by Dative or Dative’s agents as of the date of termination, whichever is greater; and Client shall pay all Expenses, fees, out of pockets together with any Additional Costs incurred through and up to, the date of cancellation.

12.4 In the event of termination by Client and upon full payment of compensation as provided herein, Dative grants to Client such right and title as provided for in Schedule A of this Agreement with respect to those Deliverables provided to, and accepted by Client as of the date of termination.

12.5 Upon expiration or termination of this Agreement: (a) each party shall return or, at the disclosing party’s request, destroy the Confidential Information of the other party, and (b) other than as provided herein, all rights and obligations of each party under this Agreement, exclusive of the Services, shall survive.

**13. GENERAL**

13.1 Modification. This Agreement constitutes the entire agreement of the parties relating to its subject matter, supersedes all prior oral or written understanding or agreements regarding that subject matter and may not be amended, modified or cancelled except by a written instrument executed by both Dative and Client.

13.2 Waiver. Failure by either party to enforce any right or seek to remedy any breach under this Agreement shall not be construed as a waiver of such rights nor shall a waiver by either party of default in one or more instances be construed as constituting a continuing waiver or as a waiver of any other breach.

13.3 Notices. All notices to be given hereunder shall be transmitted in writing either by facsimile or electronic mail with return confirmation of receipt or by certified or registered mail, return receipt requested, and shall be sent to the addresses identified below, unless notification of change of address is given in writing. Notice shall be effective upon receipt or in the case of fax or email, upon confirmation of receipt.

13.4 No Assignment. Neither party may assign, whether in writing or orally, or encumber its rights or obligations under this Agreement or permit the same to be transferred, assigned or encumbered by operation of law or otherwise, without the prior written consent of the other party.

13.5 Force Majeure. Dative shall not be deemed in breach of this Agreement if Dative is unable to complete the Services or any portion thereof by reason of fire, weather, labor dispute, act of God or public enemy, death, illness or incapacity, or any local, state, federal, national or international law, governmental order or regulation, or any other event beyond Dative’s control (collectively, “Force Majeure Event”). Upon occurrence of any Force Majeure Event, Dative shall give notice to Client of its inability to perform or of delay in completing the Services and shall propose revisions to the schedule for completion of the Services.

13.6 Governing Law and Dispute Resolution. This Agreement shall be governed in accordance with the laws of the Commonwealth of Massachusetts without regard to its conflict of law provisions. The parties specifically consent to the local, state and federal courts located in the Commonwealth of Massachusetts. The parties hereby waive any jurisdictional or venue defenses available to them and further consent to service of process by mail. Client acknowledges that Dative will have no adequate remedy at law in the event Client uses the deliverables in any way not permitted hereunder, and hereby agrees that Dative shall be entitled to equitable relief by way of temporary and permanent injunction, and such other and further relief at law or equity as any arbitrator or court of competent jurisdiction may deem just and proper, in addition to any and all other remedies provided for herein.

The prevailing party in any dispute resolved by binding arbitration or litigation shall be entitled to recover its attorneys’ fees and costs.

13.7 Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall nevertheless remain in full force and effect.

13.8 Headings. The numbering and captions of the various sections are solely for convenience and reference only and shall not affect the scope, meaning, intent or interpretation of the provisions of this Agreement nor shall such headings otherwise be given any legal effect.

13.9 Integration. This Agreement comprises the entire understanding of the parties on the subject matter herein contained, and supersedes all prior and contemporaneous agreements, understandings and discussions between the parties relating to the subject matter of this Agreement. In the event of a conflict between the Statement of Work and any other Agreement documents, the terms of the Statement of Work shall control. This Agreement comprises this Basic Terms and Conditions document, and the Statement of Work.

By executing the SOW, the parties hereto have agreed to all of the terms and conditions of this Agreement, and each signatory represents that he/she has the full authority to enter into this Agreement and to bind his/her respective party to all of the terms and conditions herein.

You shall provide Dative, Inc. with accurate and complete billing information, including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Dative, Inc. to charge all subscription fees incurred through your account for any such payment instruments.

Should automatic billing fail to occur for any reason, Dative, Inc. will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

## **Fee Changes**

Dative, Inc., in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Dative, Inc. will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

## **Refunds**

Certain refund requests for Subscriptions may be considered by Dative, Inc. on a case-by-case basis and granted in sole discretion of Dative, Inc..

## **Content**

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.

# Love it Guarantee Terms & Conditions

ADDENDUM TO MASTER SERVICE AGREEMENt

#### Love it Guarantee Terms & Conditions

**Parties:** Dative, Inc. ("Dative") and Client as defined in the Master Service Agreement ("MSA") and Scope of Work ("SOW").

##### 1. INCORPORATION AND PRECEDENCE

This Addendum supplements and modifies the MSA between the parties. In the event of any conflict between this Addendum and the MSA, the terms of this Addendum shall control solely with respect to the Love It Guarantee provisions. All other terms of the MSA remain in full force and effect.

##### 2. LOVE IT GUARANTEE SCOPE AND ELIGIBILITY

**2.1 Eligible Projects.** The Love It Guarantee applies only to:

- Website design and development projects with a minimum value of $10,000
- Projects specifically designated as "Love It Guarantee Eligible" in the Statement of Work

**2.2 Excluded Projects.** The guarantee does NOT apply to:

- Maintenance, hosting, or ongoing support services
- Third-party integrations, plugins, or licensing fees
- Projects involving pre-existing websites or significant legacy content migration
- Rush projects with timelines under 30 days
- Projects where Client fails to meet obligations under Section 6.1 of the MSA

##### 3. GUARANTEE TERMS

**3.1 Guarantee Period.** The Love It Guarantee may be invoked at any time during the design and development process up to, but not including, the website launch date. Launch occurs when:

- Client provides written approval for website to go live, OR
- Website is transferred to Client's hosting environment, OR
- 30 days after final deliverable acceptance without Client objection

**3.2 Refund Commitment.** If properly invoked under this Addendum, Dative will refund 100% of fees paid for the specific project, excluding:

- Third-party costs, licenses, hosting fees, or other pass-through expenses
- Travel expenses previously incurred and approved
- Change order work performed outside original scope
- Any work performed after guarantee period expires

##### 4. INVOCATION REQUIREMENTS AND PROCEDURES

**4.1 Good Faith Participation Prerequisite.** To be eligible for the guarantee, Client must:

- Attend all scheduled review meetings and provide feedback within agreed timeframes
- Respond to Dative requests for information within 5 business days
- Provide all required content and materials as specified in SOW
- Participate constructively in the design process for minimum of 45 days

**4.2 Written Invocation Required.** To invoke the guarantee, Client must:

- Provide written notice via certified mail or email to Dative's designated contact
- Specifically reference the "Love It Guarantee" and this Addendum
- Provide detailed explanation of dissatisfaction with specific deliverables
- Allow Dative 10 business days to propose solutions before guarantee becomes effective

**4.3 Cure Period.** Upon receiving invocation notice, Dative may:

- Propose specific modifications to address Client concerns
- Offer additional revisions within original scope
- If Client rejects proposed solutions within 10 business days, guarantee becomes effective

##### 5. LIMITATIONS AND EXCLUSIONS

**5.1 Scope Change Exclusion.** The guarantee is void if:

- Client requests changes exceeding 15% of original project value
- Client materially changes project requirements after 50% project completion
- Client fails to provide required content or feedback causing project delays exceeding 30 days

**5.2 Subjective Standards.** "Love" is defined as Client's reasonable satisfaction with deliverables meeting the specifications in the SOW and industry standards for similar projects. Dative reserves the right to require Client to demonstrate specific, material deficiencies in deliverables.

**5.3 Bad Faith Exclusion.** The guarantee is void if Dative reasonably determines Client is acting in bad faith, including:

- Requesting refund to obtain free design work for use elsewhere
- Failing to provide feedback or participate in process with intent to invoke guarantee
- Making unreasonable demands beyond SOW scope

##### 6. REFUND PROCESS AND INTELLECTUAL PROPERTY

**6.1 Refund Timeline.** Upon effective guarantee invocation:

- Dative will process refund within 30 business days
- Client must return or destroy all deliverables and materials
- All intellectual property rights remain with Dative

**6.2 Intellectual Property Forfeiture.** If guarantee is invoked:

- Client receives no rights to any designs, code, content, or materials created
- Client may not use, reproduce, distribute, or create derivative works from any project materials
- Client must provide written certification of material destruction/return

**6.3 Confidentiality Obligations Continue.** All confidentiality obligations under Section 8 of the MSA remain in effect regardless of guarantee invocation.

##### 7. LIMITATION OF LIABILITY MODIFICATION

**7.1 Guarantee Exception.** Notwithstanding Section 11.3 of the MSA, Dative's maximum liability for eligible guarantee refunds shall not exceed the total fees paid by Client for the specific project invoking the guarantee.

**7.2 Consequential Damages Exclusion Maintained.** The guarantee does not create liability for any indirect, incidental, special, consequential, or punitive damages, which remain excluded per the MSA.

##### 8. MARKETING AND PROMOTIONAL RIGHTS

**8.1 Guarantee Marketing.** Client acknowledges Dative may reference the Love It Guarantee in marketing materials and that successful project completion may be used in Dative's promotional materials per MSA Section 7.2.

**8.2 Non-Disparagement Enhanced.** Client agrees not to make any public statements about invoking the guarantee or project dissatisfaction without first following the cure period process in Section 4.3.

##### 9. DISPUTE RESOLUTION

**9.1 Arbitration Requirement.** Any disputes regarding guarantee eligibility, invocation, or refund amounts shall be resolved through binding arbitration in Massachusetts under AAA Commercial Arbitration Rules.

**9.2 Preliminary Injunction Rights.** Dative retains rights to seek immediate injunctive relief for any unauthorized use of intellectual property following guarantee invocation.

##### 10. MISCELLANEOUS

**10.1 One-Time Use.** Each Client entity may invoke the Love It Guarantee maximum once per calendar year across all projects.

**10.2 Severability.** If any provision of this Addendum is deemed unenforceable, the remainder shall remain in effect.

**10.3 Amendment.** This Addendum may only be modified by written agreement signed by both parties.

# How to Protect Your Website Content from Being Stolen

### **If you've ever had something stolen, you know it's a terrible feeling.**

What's worse, someone could steal your website content without you even knowing it.

You have likely spent time, money, and effort on your website content, whether it's professional photography or writing the perfect message and marketing copy.

Now imagine someone comes along, takes your content, and posts it on their website as their own.

Fortunately, several tools are available to help you monitor your website content for plagiarism. If you discover that someone stole your content, there are solutions to remedy the situation.

#### **How to protect your images.**

High-quality images are critical for a beautiful and effective website. This is especially true for portfolio-driven organizations like builders, designers, and architects.

Sadly, it's nearly impossible to prevent someone from copying images from your website, even if you use tactics like disabling right-clicking. (Which I don't recommend, as that can create other usability and accessibility issues.)

If you're highly concerned about protecting your images, adding a watermark with your logo or company name is a smart option, although often not always the most elegant.

##### [**BatchWatermark**](https://batchwatermark.com/en)

If you want to go the watermark route, BatchWatermark is a free online tool for adding your logo or text to multiple images simultaneously.

Another useful tactic is to perform a reverse image search. Basically, you upload your photos to a service that scans the internet to see if any other websites are using your images.

##### [**TinEye**](https://tineye.com/)

[TinEye](https://tineye.com/) is the most reliable and user-friendly reverse image search tool that I've found, and they have helpful browser extensions to perform searches from any webpage.

The free level only allows you to upload a single image at a time, but they offer a paid service where you can upload multiple images to a library, which will continually monitor the internet for copies and report any violations to you.

### **How to protect your written content.**

When it comes to your website, content is king. Great content impacts your SEO rankings, creates engagement, and drives conversions. But writing is hard! Unfortunately, stealing your hard-earned content is as easy as "copy and paste."

It can be a bit harder to track down stolen written content, especially if the plagiarized copy was edited slightly so that it's not the same text word-for-word. However, there are a few resources that can help.

##### [**Copyscape**](https://www.copyscape.com/)

Copyscape has several plagiarism tools. With the free level, you can plug in a URL and it will check for duplicate (stolen) versions of your text content.

They have paid plans that allow you to scan your entire website, as well as a monitoring service that automatically scans the web daily or weekly and emails you when new copies of your content are found.

##### [**Grammarly Pro**](https://www.grammarly.com/)

Grammarly Pro is another option. Grammarly is a writing assistant. It helps with spelling, grammar, tone, and overall clarity. (I use it when writing emails, proposals...pretty much any time I write.) They have a really robust free plan, but upgrading to Pro gives you additional features like a plagiarism checker.

### **What to do if your content was stolen.**

If you find that someone has used your copyrighted content without permission, the smart approach is to talk to a lawyer. They are the best resource for advising on legal matters like this.

If you don't have a lawyer and/or hiring one would be cost-prohibitive to you, the next best thing is to send the offending party a DMCA takedown notice (free template below).

DMCA (Digital Millennium Copyright Act) addresses several digital copyright issues and provides some frameworks for addressing copyright or digital content violations.

# Use Story Sticks to Save Time and Reduce Errors

My first job out of high school was at a sign company.  

We'd often have a project where we would need to make 10-20 copies of the exact same sign.  

For example, we would make a bunch of 18"x24" signs for a contractor to put on his job sites.  

This process would involve placing the vinyl graphics onto the piece of aluminum, measuring it to ensure it's in the right position, and then applying the graphics to the substrate.  

Every sign had the **exact** same measurements for where the graphics needed to be placed, so it would be tedious to measure each by hand.  

Instead, we used an old woodworking secret...

#### **A story stick.**

A story stick is a piece of wood with markings to indicate certain measurements. It "tells the story" of that stick's specific job or purpose.

I would measure the first sign with a tape measure, get those numbers, and transfer them to the story stick. Then, for all the other signs, I'd just reference the story stick.

**The story stick is a way to streamline a repetitive process in order to save time and reduce errors.**

# When Less is More

A business consultant was negotiating rates for a workshop. Instead of his standard 4-hour workshop (at $10,000), the CEO asked the consultant to cut the workshop down to 2 hours to accommodate the busy schedule of his executive team.

Conventional thinking would say the workshop that is half the time should cost half as much.

The Challenge

E.J. Pontiff, a well-established builder and real estate developer on the South Shore, came to us with two problems, one urgent and one structural.

The urgent one was that the website was breaking and no one could fix it. The developer who built it had gone out of business. Pages were failing with no path to repair and no one to call. For a firm selling seven-figure homes, a failing website is a liability that compounds with every passing day.

The structural problem was bigger. The site presented the company as a custom home builder. And while that is an aspect of the business, it's not the only one. In reality, Pontiff is a custom home builder, a residential developer, a commercial developer, and an agricultural management operation, with more than 500 completed homes and over 20 developments behind it. The website and portfolio didn't show the range of their services or the caliber of their work.

## A robust, modern website that markets directly to buyers.

The first was scope. Dedicated sections were built for each of the four service lines, standing on their own with their own search presence. A portfolio filterable by project type lets visitors sort to relevant work rather than scrolling one undifferentiated gallery.

The second was a channel change. A developments section lists currently available spec homes with square footage, bed and bath counts, pricing and imagery, published and managed by the client directly. That lets the company reach buyers on its own site rather than routing every prospective purchaser through a broker. For a builder selling its own inventory, that is a commercial advantage, not a marketing feature.

Cape & Island Kitchens needed a website that actually reflected the size and scope of the business.

We started with the brand. A new logo and identity system gave the company a consistent visual foundation to carry across fleet graphics, apparel, business cards, and every other place the name appears.

We then rebuilt the website on Craft CMS, migrating off an unmanaged WordPress site and designed to showcase the full range of work the firm actually does, the size of the organization, and the geographic footprint of the markets they serve.

The result reaches two audiences at once. Homeowners planning significant projects can now see the depth of the team and the breadth of the portfolio. So can the tradespeople that subcontract them as a vendor that provides full-service cabinetry solutions.
